General Terms and Conditions

Terms and conditions of use of the Developer Portal of Plataforma Entregas Expressas.

This English version is provided for convenience. In case of any discrepancy, the Portuguese version prevails.

Version 2.0 · Effective upon acceptance at sign-up.

These General Terms and Conditions (“General Terms and Conditions” or “Terms”) govern access to and use of the Developer Portal of Plataforma Entregas Expressas by Developers who, entirely at their own risk, decide to build Applications that interact with the API, the sandbox environment and the webhooks made available by the Platform.

The Platform is operated by DONO DO APP LTDA, a limited liability company registered with the CNPJ/ME (Brazilian corporate taxpayer registry) under No. 36.356.379/0001-14, with its registered office at Avenida Tiradentes, 209, Segundo Pavimento, Centro, São João del Rei/MG, CEP 36307-346 (“Platform” or “we”).

Acceptance of these General Terms and Conditions is indispensable to create an account on the Developer Portal, to obtain API access credentials and to create, publish or submit any Application for review. By checking the acceptance option at sign-up, the Developer declares that it has read, understood and fully agreed to these Terms, as well as to the Policies mentioned in clause 9.

The Developer Portal is offered at the Platform's discretion and may be modified, suspended or discontinued, in whole or in part, at any time, without the need for prior notice and without any obligation of reimbursement of any kind.

1. Definitions

Capitalized terms used in these General Terms and Conditions shall have the meanings set out below, unless the context requires otherwise:

  • “API” — the application programming interface made available by the Platform, as well as all technical documentation, specifications, examples, SDKs, schemas and related files, in any version published on the Developer Portal, including the ABRASEL OpenDelivery standard where applicable.
  • “Application” or “App” — software, system, integration, service, website or any other type of interface developed by the Developer that communicates with the API or consumes webhooks from the Platform. Applications may be of the types open_delivery (ABRASEL OpenDelivery standard, authenticated via OAuth2 Client Credentials) or full (direct integration authenticated by an API key issued on behalf of a Platform Client).
  • “Sandbox Environment” — a test environment automatically provisioned by the Platform for each Application, with credentials, fictitious data and a test courier, so as to allow development and approval testing without affecting real operations.
  • “Platform Client” — a legal entity that contracts Plataforma Entregas Expressas to manage its logistics operations (including, without limitation, delivery companies, carriers, last-mile operators and merchants with their own operation).
  • “End Users” — natural or legal persons who, directly or indirectly, use functionalities made available via the Platform, including employees of Platform Clients, customers (stores, restaurants and e-commerce businesses that request deliveries), couriers and end consumers.
  • “Technical Content” — any and all data, code, documentation, webhook payload, schema, example, specification or material of any kind made available by the Platform to the Developer through the API, the Developer Portal or the Sandbox Environment.
  • “Credentials” — any keys, tokens, secrets, client_id, client_secret, API keys, webhook tokens or other authentication elements issued by the Platform in favor of the Developer or its Applications.
  • “Developer” — a legal entity duly organized in Brazil, registered with the CNPJ, that has signed up on the Developer Portal and fully accepted these General Terms and Conditions. Registrations and Credentials are intended exclusively for legal entities; registrations in the name of an individual, even if containing company data, are not authorized.
  • “Developer Portal” — the platform made available at developer.entregasexpressas.com.br, intended for managing Applications, Credentials, test environments and request logs.
  • “Plataforma Entregas Expressas” — the set of systems, apps, dashboards and APIs operated by DONO DO APP LTDA, intended for managing the urban logistics operations of Platform Clients and of their respective customers and couriers.
  • “Admin Panel” — the authenticated area of the Platform used by Platform Clients to manage their operations (couriers, orders, finance, integrations, reports, settings).
  • “Public Application” — an Application of the open_delivery type that has been submitted to and approved in a review process by the Platform's team and whose display in public lists of integrations has been authorized by the Platform.

2. Purpose

2.1. These General Terms and Conditions govern (i) the Developer's access to the API, the documentation and the Technical Content; (ii) the creation, maintenance and operation of Applications; (iii) the use of the Sandbox Environment; (iv) the receipt of webhooks; and (v) the possible submission of open_delivery Applications to a review process in order to become Public Applications.

2.2. The Platform grants the Developer, upon acceptance of these Terms, a limited, non-exclusive, personal, revocable, non-sublicensable and non-transferable license to use the API and the Technical Content, for the sole purpose of developing, testing and operating Applications intended to integrate with the Platform. Any other use is prohibited.

2.3. Credentials are personal and non-transferable. The Developer is solely and fully responsible for the use made under its Credentials and under those issued in favor of its Applications, and must notify the Platform immediately of any suspected misuse or compromise, through the official channels of the Developer Portal.

2.4. Credentials remain, in all circumstances, the property of the Platform and may be revoked, rotated or suspended at any time, at the Platform's sole discretion, especially in situations of risk, suspected fraud, breach of these Terms or by legal or regulatory requirement.

2.5. Under no circumstances may the API and the Technical Content be used for purposes (i) not provided for in these Terms; (ii) that violate any applicable legal or regulatory rule, in any jurisdiction; (iii) that infringe the rights of third parties, including intellectual property, image, honor or privacy rights; (iv) that expose the Platform, its Clients, End Users or third parties to any civil, criminal, administrative or regulatory liability; or (v) that compromise the security, stability or integrity of the Platform's systems.

2.6. Acceptance of these Terms and the creation of an account on the Developer Portal do not constitute a guarantee, promise, tacit authorization or commitment to make any Application immediately available in public lists, dashboards or promotional channels of the Platform. The inclusion of an Application as a Public Application depends on the prior, express and revocable approval of the Platform, subject to the review process described in clause 4.

3. Registration and Developer Account

3.1. Only legal entities duly organized in Brazil and registered with the CNPJ may sign up on the Developer Portal. The Developer declares, under penalty of law, that (i) it is validly organized and in good standing with the competent authorities; (ii) it has the powers to enter into these Terms on its own behalf; and (iii) all information provided at sign-up is true, complete and current, and undertakes to keep it so updated.

3.2. The natural person who accepts these Terms on behalf of the Developer declares that he or she is a duly authorized legal representative of the registered legal entity and is jointly and severally liable, without limitation, together with the Developer, for any falsehood in the statements made at sign-up.

3.3. The access credentials for the Developer Portal (login and password) are individual and non-transferable. The sharing, assignment or sale of access credentials is prohibited. Each of the Developer's employees must create and use their own credentials. The Platform provides a dedicated flow for the owners of an Application to invite other developers as members.

3.4. The Developer is responsible for maintaining the security of its credentials and for all activity carried out from its account, even if performed by an agent, employee, contractor or any third party to whom it has granted access, with or without authorization.

4. Applications, Sandbox Environment and Review Process

4.1. When an Application is created on the Developer Portal, the Platform provisions an isolated Sandbox Environment, with its own Credentials, for the sole purpose of development, integration and approval testing. The Sandbox Environment must not be used for production traffic, real End User data or actual commercial operations.

4.2. Applications of the open_delivery type are created as private. To become Public Applications and, possibly, be listed on the Platform's public integration pages, they must be submitted for review by the Platform's team. The Platform may, at its sole discretion and with no duty to provide detailed reasons, approve, reject, make approval conditional, revoke previously granted approval or request adjustments regarding technical matters, security, legal compliance or user experience.

4.3. Applications of the full type are, by their nature, always private and intended to serve a specific Platform Client that has engaged the Developer. The Platform does not intermediate, does not guarantee and is not a party to any commercial, contractual, employment or service-provision relationship entered into between the Developer and the Platform Client.

4.4. The “Access the app's sandbox platform” functionality available for full Applications is strictly technical in nature, is recorded in an audit log and must only be used for legitimate purposes of development and integration support. Its use for any purpose outside the scope of the integration contracted with the Platform Client is prohibited.

4.5. All requests received and webhooks sent in connection with Applications may be recorded by the Platform for purposes of inspection, audit, support, security and evaluation in review processes. The Developer declares that it is aware of and agrees to such recording.

5. Developer Obligations

5.1. The Developer is solely and fully responsible for the Applications it develops, operates, publishes or maintains, assuming before the Platform, Platform Clients, End Users and any third parties all risks, defects, failures, damages and losses arising from such Applications, and undertakes to hold the Platform free and harmless from any liability or burden arising therefrom.

5.2. The Developer undertakes to ensure that its Applications fully comply with applicable law, including, without limitation, rules on consumer protection, personal data protection, intellectual property, competition, taxation, traffic, cargo transport and labor law, as the case may be.

5.3. The Developer must implement good engineering practices in its Applications, including, without limitation, (i) proper error handling and retries with backoff; (ii) compliance with usage limits (rate limits) published or communicated by the Platform; (iii) idempotency where applicable; (iv) webhook signature verification; (v) secure storage of Credentials; and (vi) its own monitoring.

5.4. Unless with the prior and express written authorization of the Platform, the Developer is not authorized to use the trademarks, logos, trade names, layouts, visual identity or any other distinctive signs of the Platform, of the Dono do App brand, of Entregas Expressas or of companies related to them. Mere registration on the Developer Portal or the approval of a Public Application does not imply any authorization to use trademarks beyond what is strictly necessary to identify the technical integration with the Platform.

5.5. The Developer grants the Platform, on a non-exclusive, royalty-free basis, with no territorial or time limitation, a license to use the Application's corporate name, trademarks, logos, description and screenshots for the purposes of listing on public integration pages, institutional communication materials, use cases, educational content and promotion of the Platform's developer ecosystem. The Platform may, at any time and at its sole discretion, discontinue such display.

5.6. Ceasing to use the Developer Portal, deactivating an Application or the Developer's departure for any reason does not release the Developer from the obligations assumed towards Platform Clients or third parties by reason of previously integrated Applications, and the Developer must honor such obligations by its own means and hold the Platform free and harmless from any liability.

6. Intellectual Property

6.1. The API, the documentation, the Technical Content, the Developer Portal, Plataforma Entregas Expressas, the Admin Panels, the data schemas, the trademarks, the logos, the copy, the layouts, the look and feel and all other elements of the Platform are and shall remain the exclusive property of DONO DO APP LTDA and/or its licensors, and are protected by applicable intellectual and industrial property law.

6.2. Nothing in these Terms may be construed as an assignment, transfer, broad licensing or waiver of any of the Platform's intellectual property rights. The Developer is granted only the limited right of access and use described in clause 2.2.

6.3. The Developer undertakes not to, directly or indirectly: (i) reverse engineer, decompile, deobfuscate, decipher, perform large-scale scraping of or disassemble the API, the Developer Portal or any component of the Platform; (ii) distribute, sublicense, assign, sell, rent, lend or in any way transfer Credentials, Technical Content or access to the API; (iii) make statements or give warranties on behalf of the Platform; or (iv) suggest any association, endorsement, commercial partnership or authorization that has not been expressly granted in writing by the Platform.

6.4. Nothing in these Terms restricts the Platform's right to develop, contract, license or market functionalities, features or products that have a purpose equal, similar or competing in relation to any Application created by the Developer, and such development shall not entail any payment, compensation or obligation on the part of the Platform.

7. Prohibited Activities

7.1. Without prejudice to the other prohibitions set out in these Terms, the Developer is expressly prohibited, directly or through third parties, contractors or agents, from:

  • sharing, selling, assigning, sublicensing or allowing the use of the API or of Credentials by third parties;
  • using the API or the Technical Content for any purpose other than that expressly provided for the registered Application;
  • circumventing, bypassing or overloading the API's technical, usage, billing or request rate limits, or employing techniques to mask the origin of traffic;
  • developing Applications that execute a volume of requests incompatible with the purpose of the integration or that cause degradation of the Platform's services;
  • transmitting, through the Applications, information that is false, inaccurate, offensive, defamatory, discriminatory, fraudulent or that may mislead third parties;
  • using the API, the webhooks or the Technical Content to build, train or improve artificial intelligence models, databases, products or services that replace, compete directly with or replicate functionalities of the Platform, unless with the express written authorization of the Platform;
  • carrying out security tests, scans, pentests, load attacks or any actions that may affect the availability or integrity of the Platform without prior, express and written authorization, and outside the conditions agreed with the security team;
  • using the Developer Portal for any activity that is unlawful, fraudulent, or contrary to morality, good customs or public order, including, without limitation, money laundering, terrorist financing, the sale of illegal products or services and the violation of third-party rights.

8. Confidentiality

8.1. The Developer acknowledges that, by reason of its access to the Developer Portal, the API and the Sandbox Environment, it will come into contact with information of a confidential nature belonging to the Platform, including, without limitation, technical specifications not yet published, data schemas, configuration parameters, commercial terms, information about Platform Clients and End Users, product plans, operational metrics and any other information, whether or not identified as confidential (“Confidential Information”).

8.2. The Developer undertakes to (i) keep the Confidential Information in strict confidence; (ii) not disclose it to third parties, except to employees, agents and contractors strictly necessary for the performance of the Application, in which case it must extend to them a confidentiality obligation equivalent to that set out in these Terms; (iii) not use it for any purpose unrelated to the performance of the Application; and (iv) be fully liable for any breach committed by its employees, agents or contractors.

8.3. Information shall not be considered Confidential Information where it (i) is or becomes public domain without breach of these Terms; (ii) was demonstrably already in the Developer's possession before disclosure by the Platform; or (iii) has its disclosure expressly authorized in writing by the Platform.

8.4. If the Developer is compelled by a court or administrative order to disclose Confidential Information, it must notify the Platform within a maximum of 24 (twenty-four) hours from becoming aware of the order, so that the Platform may take the appropriate legal measures, and must limit the disclosure to what is strictly determined by the order.

8.5. The confidentiality obligations set out in this clause shall remain in force for as long as the relationship between the parties is active and shall survive for 5 (five) years from the termination of use of the Developer Portal for any reason.

9. Privacy and Personal Data Protection

9.1. In processing personal data to which it has access by reason of these Terms, the Developer undertakes to fully comply with Brazil's General Data Protection Law (Lei Geral de Proteção de Dados Pessoais, Law No. 13.709/2018 – LGPD), the Brazilian Civil Rights Framework for the Internet (Marco Civil da Internet, Law No. 12.965/2014) and other applicable rules, observing the principles of purpose, adequacy, necessity, transparency, security, prevention and accountability.

9.2. For the purposes of the LGPD, in the context of these General Terms and Conditions, the Platform acts as controller of the personal data it makes available to the Developer, and the Developer shall act as processor, to the extent strictly necessary for the performance of the Application, or as an independent controller in relation to the data it collects directly, as the case may be.

9.3. The Developer undertakes to (i) process personal data exclusively for the purposes necessary for the performance of the Application; (ii) not share, transfer or sell personal data to third parties not directly involved in the performance of the Application; (iii) implement appropriate technical and organizational measures to protect personal data, including, without limitation, encryption in transit and at rest where applicable, access controls, environment segregation, audit logs, monitoring and periodic security testing; and (iv) delete personal data once the purpose has ended or upon justified request from the Platform, unless there is a legal retention obligation.

9.4. In the event of a security incident involving personal data to which the Developer has had access by reason of these Terms, the Developer must notify the Platform within a maximum of 24 (twenty-four) hours from becoming aware of the incident, through the Developer Portal support channels, informing at least (i) the date, time and description of the incident; (ii) the categories and estimated volume of personal data and data subjects affected; (iii) the containment and mitigation measures adopted; and (iv) the subsequent action plan. Other communications (to the competent authority or to data subjects) must be coordinated with the Platform.

9.5. The Developer is fully responsible for compensating the Platform for any and all damage, administrative sanction, court cost, attorneys' fees and indemnity arising from the breach, by its own act or omission or that of its agents, of the obligations relating to privacy and personal data protection set out in these Terms or in applicable law.

10. Suspension and Termination

10.1. The Platform may, at its sole discretion and at any time, regardless of prior notice or of formal notice of default, suspend or terminate, in whole or in part, the Developer's access to the Developer Portal, the API and the Sandbox Environment, as well as revoke Credentials and discontinue Applications, in any event of (i) breach, even where merely indicated by circumstantial evidence, of these Terms or of related Policies; (ii) suspected fraud, abuse, misuse, attack or risk to the security of the Platform, of Platform Clients or of End Users; (iii) a legal, regulatory or court determination; or (iv) discontinuation of the Developer Portal, of the API or of specific functionalities.

10.2. The Platform shall have no obligation to pay, reimburse or indemnify the Developer by reason of any suspension, termination, revocation or discontinuation carried out under clause 10.1.

10.3. Termination of use, for any reason, does not exclude the applicability of the obligations that, by their nature, must survive termination, including, without limitation, intellectual property, confidentiality, data protection, indemnification and jurisdiction.

11. Changes to these Terms

11.1. The Platform may, at any time, amend these General Terms and Conditions and the Policies related to them, and the version in force shall always be the one published at developer.entregasexpressas.com.br/termos. The version number and the effective date appear at the top of this document.

11.2. Continued use of the Developer Portal after the publication of a new version of the Terms implies automatic agreement with the updated version. If the Developer does not agree with the changes, it must stop using the Developer Portal and request the closure of its account.

12. General Provisions

12.1. These Terms do not establish between the parties any relationship of corporate association, partnership, joint venture, mandate, commercial representation, agency, franchise or employment, and the parties remain at all times independent and autonomous, each being individually responsible for the obligations arising from its own activities.

12.2. These Terms, together with the Policies referred to herein, represent the entire understanding between the parties regarding the subject matter governed herein, superseding any prior understandings, communications or negotiations, whether oral or written.

12.3. Any tolerance by either party of the other party's breach of obligations shall not be considered a waiver, novation or modification of what is established herein, and all clauses of these General Terms and Conditions shall remain in full force.

12.4. If any provision of these Terms is held to be null, invalid or unenforceable by a competent authority, the remaining provisions shall remain in full force, and the parties undertake to negotiate in good faith a substitute provision that comes closest to the originally intended effect.

12.5. The Platform may assign, transfer or in any way dispose of the rights and obligations arising from these Terms, in whole or in part, to companies of its economic group or to third parties, by simple notice to the Developer. The Developer may not assign the rights and obligations arising from these Terms without the prior and express authorization of the Platform.

12.6. Communications between the parties shall preferably be made through the Developer Portal and the e-mail addresses provided at sign-up, and shall be deemed valid for all purposes.

12.7. These Terms are governed by the laws of the Federative Republic of Brazil. The parties elect the courts of the Judicial District (Comarca) of São João del Rei, State of Minas Gerais, as the sole competent venue to settle any dispute arising from these Terms, expressly waiving any other, however privileged it may be.

If you have any questions about these Terms, contact us through the Developer Portal channels or by e-mail at [email protected].
